1. Agreement to Terms

By accessing and using PledgeCards software (the "Service"), you agree to be bound by these Terms & Conditions (the "Agreement"). This Agreement constitutes a binding legal agreement between you or the organization you represent ("Client," "you," or "your") and PledgeCards ("we," "us," or "our") for the duration of your use of the application.

If you do not agree to these terms, you may not access or use the Service.

2. Service Description

PledgeCards provides subscription-based software designed to help religious organizations manage member records, pledges, donations, payments, communications, and related administrative functions. The Service is provided on a software-as-a-service (SaaS) basis.

3. Subscription and Fees

3.1 Subscription Fees

Use of the Service requires a paid subscription. Subscription fees are billed on a recurring monthly or annual basis as selected during signup. All subscription fees are non-refundable except as required by law.

3.2 Setup Fees

Initial setup and data migration services may incur one-time setup fees. These fees will be communicated clearly before services are rendered and must be paid before setup begins.

3.3 Third-Party Payment Processing Fees

When using third-party payment processors (such as credit card processors or electronic payment services) to collect donations or payments through the Service, transactions incur fees that are split into two components:

• Processing fees: Fees charged by the payment processor (e.g., credit card networks, payment gateways)
• Platform fees: Fees retained by PledgeCards for facilitating payment processing through the platform

These combined fees are typically based on transaction volume and payment method. You are responsible for all processing and platform fees associated with transactions.

The application allows donors to opt in to cover these fees at checkout, ensuring that 100% of their intended donation amount reaches your organization. This optional feature maximizes the net proceeds received while maintaining transparency with donors about payment processing costs.

3.4 Additional Services and Products

Certain optional services and products may incur additional fees, including but not limited to:

• Printing and delivery of physical PledgeCard Scanner cards with barcodes or QR codes
• Email and SMS communications sent beyond the limits included in your subscription tier
• Custom integration or development work requested by Client
• Premium support or training services beyond standard support
• Additional data storage or bandwidth beyond included limits
• Any other services specifically requested by Client that fall outside the standard subscription

All additional fees will be clearly communicated and agreed upon before services are rendered.

4. Payment Terms

Subscription fees are due in advance of each billing period. You authorize us to charge your designated payment method on a recurring basis. If payment fails, we reserve the right to suspend or terminate your access to the Service until payment is received.

5. Data Ownership and Usage

You retain all ownership rights to the data you input into the Service ("Client Data"). We use Client Data solely for the purpose of providing the Service to you. We do not sell, rent, or share your data with third parties except as necessary to provide the Service (e.g., payment processing) or as required by law.

Upon termination of your subscription, you may request an export of your Client Data. After a reasonable grace period, Client Data may be deleted from our systems.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service or related systems
• Use the Service to transmit malicious code or engage in harmful activities
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Share your account credentials with unauthorized users

7. Service Availability

While we strive to provide continuous, uninterrupted access to the Service, we do not guarantee that the Service will always be available or error-free. We reserve the right to perform scheduled maintenance and updates that may temporarily affect Service availability.

8. Limitation of Liability

To the maximum extent permitted by law, PledgeCards shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Service.

9. Termination

Either party may terminate this Agreement at any time. You may cancel your subscription through your account settings or by contacting us. We may suspend or terminate your access to the Service if you breach these Terms or fail to pay subscription fees.

Upon termination, your right to access and use the Service will immediately cease. No refunds will be provided for any unused portion of a subscription period.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes are made constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PledgeCards operates, without regard to its conflict of law provisions.
